The Legal Status of Petroleum Development Agreements in International Law and the Problem of Characterization: A Proposed Way Forward

يتمثل الهدف الرئيسي للمشروع في وضع نموذج نظري وعملي للتوصيف القانوني لاتفاقية تطوير عمليات الاستكشاف والإنتاج البترولي. وفي إطار القيام بهذا، يطمح فريق العمل بالمشروع لإيجاد حل قانوني فعال لواحدة من أهم المشكلات القانونية التي تؤثر على اتفاقيات التنمية النفطية بوجه خاص ونظام الاستثمار الدولي ككل في القرن الحادي والعشرين. إن المشكلة المتعلقة بالطبيعة القانونية والصفة القانونية لاتفاقيات التطوير البترولي تمثل مسألة قائمة منذ فترة طويلة في ممارسة التحكيم الدولي والمطالبات. وقد زاد من تعقيد هذه المشكلة التطور التاريخي لتلك الاتفاقيات من اتفاقية الامتياز القديم مروراً بعقود المشاركة في الإنتاج التي كانت سائدة في السبعينات من القرن العشرين وصولا إلى اتفاقيات الخدمات الحالية. إن مشكلة التصنيف (أو التوصيف) القانوني تنبع في جوهرها من الطبيعة شبه العامة أو العامة الخاصة لهذه الاتفاقيات وهذا يعرف بصورة شائعة باسم التفرع العام والخاص لاتفاقية التطوير البترولي. تثير هذه الطبيعة السؤال الرئيسي بشأن أي نظام قانوني يجب تطبيقه على الاتفاقية في ظل عدم وجود بند اختيار القانون هل هو القانون العام أم القانون الخاص؟ سوف يقوم فريق العمل بالمشروع أولاً بإجراء مراجعة للمؤلفات المتعلقة بالموضوع يتبعها مراجعة وتحليل نقديين للخلفية التاريخية والتطورية لمشكلة توصيف اتفاقيات التطوير البترولي في ممارسة التحكيم والمطالبات. سوف يقوم فريق العمل بعد ذلك بإجراء فحص تفصيلي للطبيعة القانونية للمشكلة مع التعليق على التأثير المحتمل على توصيف للتقارب المتزايد بين القانون الوطني والقانون الدولي والقانون العام والقانون الخاص في ممارسة التحكيم والمطالبات. ومشروع البحث هدفه الرئيسي وضع واقتراح صيغة قانونية جديدة لتوصيف اتفاقيات التطوير البترولي. وبناء عليه تم تحديد الأهداف النظرية والعملية للمشروع واضعين نصب أعيننا هذا الهدف الهام وبهدف تحقيق إسهام أصيل في تطوير المعرفة في هذا المجال الدراسي الهام.

The main objective of the project is to develop a theoretical and practical model for the legal characterisation of upstream petroleum development agreements. The project team aims to find an effective legal solution to one of the most important legal problems affecting petroleum development agreements in the twenty first century, in particular and the international investment regime as a whole. The problem concerning the precise nature and legal character of upstream petroleum development agreements has been a long-standing issue in international arbitration and claims practice. It is a problem which has been further complicated by the historical evolution of such agreements from the old concession type agreement through to the production-sharing contracts of the 1970s to present day service agreements. The problem of legal classification (or characterization) in essence, derives from the semi-public or publicprivate nature of such agreements, with the host State on the one hand and a private enterprise on the other, as parties to the agreement. This is more commonly known as the public-private dichotomy of petroleum development agreements. This dichotomous character raises the key question, which system of law to apply to the agreement in the absence of a choice of law clause: public law or private law, national law or international law? The project team will, first of all, undertake a literature review on the topic, followed by critical review and analysis of the historical and evolutionary background to the problem of characterisation of petroleum development agreements in arbitration and claims practice. It will then examine in detail the legal nature of the problem while commenting on the possible impact on characterisation of the increasing convergence of national law and international law, public law and private law in arbitration and claims practice. The project’s main objective is to develop and to propose a legal new formula for the characterization of petroleum development agreements. The project’s theoretical and practical objectives are therefore designed with this important aim in mind, and with a view of making an original contribution to the development of knowledge in this important field of study.
